GENFLOW TERMS OF SERVICE

These Terms of Service ("Terms") are a legal agreement between Token Dynamics Inc. ("Company," "we," "us," or "our") and you ("User," "you," or "your"). These Terms govern your access to and use of the GenFlow website, API, and any related services (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. SECTION 16 CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECTS YOUR LEGAL RIGHTS.

1. ACCEPTANCE OF TERMS

By creating an account, making a purchase, or otherwise accessing the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you are using the Services on behalf of a company, you represent that you have the authority to bind that entity to these Terms.

2. ELIGIBILITY AND REGISTRATION

• Age Requirement: You must be at least 18 years of age to use GenFlow. If you are between 13 and 18, you may only use the Services under the supervision of a parent or guardian who agrees to be bound by these Terms.
• Account Accuracy: You must provide accurate and complete information. You are solely responsible for all activity that occurs under your account.
• Security: You must safeguard your account credentials. Token Dynamics Inc. will not be liable for any loss or damage arising from your failure to maintain account security.

3. DESCRIPTION OF SERVICE

GenFlow provides AI-powered generative tools for images and videos. The Services are evolving, and we reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

4. FEES, SUBSCRIPTIONS, AND CREDITS

Your use of GenFlow may be subject to payments through subscriptions or the purchase of "Credits" (Tokens).

• Billing: You must provide a valid payment method. By providing such information, you authorize us to charge all fees incurred to that payment method.
• Subscription Cycles: Subscriptions automatically renew at the end of each billing period (monthly or annually) unless canceled via your account settings at least 24 hours before the renewal date.
• Credit Nature: Credits are non-tangible, digital tokens used within the GenFlow ecosystem. They have no cash value, do not earn interest, and are not transferable between accounts. Unused credits may expire based on the specific plan purchased.

5. STRICT NO-REFUND POLICY

ALL PURCHASES ARE FINAL AND NON-REFUNDABLE.

• General Rule: Token Dynamics Inc. does not offer refunds or credits for partially used subscription periods, unused credits, or dissatisfaction with the AI-generated Output.
• Technical Failure Exception: Refunds will only be evaluated at the Company’s sole discretion in cases of "Major System Failure"—defined as a continuous, verifiable platform-wide outage preventing all users from accessing the service for more than 48 consecutive hours.
• No Refunds for Bans: If your account is terminated for a violation of Section 7 (Prohibited Conduct), you forfeit all remaining credits and subscription time without a refund.

6. CONTENT OWNERSHIP AND INTELLECTUAL PROPERTY

• Your Input: You own all text prompts, images, or videos you upload ("Input"). You grant us a worldwide, royalty-free license to use your Input to provide and improve the Services.
• AI Output: Subject to your compliance with these Terms and payment of all fees, Token Dynamics Inc. hereby assigns to you all its rights, title, and interest in and to the content generated by the Service based on your Input ("Output").
• Legal Uncertainty: You acknowledge that AI-generated content's copyrightability is an evolving area of law. We do not guarantee that the Output is protectable under intellectual property laws in any jurisdiction.
• Company IP: The GenFlow name, logo, software, and underlying AI architecture are the exclusive property of Token Dynamics Inc.

7. PROHIBITED CONDUCT AND CONTENT

You shall not, and shall not permit any third party to, use the Services to:

• Illegal Acts: Violate any local, state, national, or international law.
• Harmful Content: Generate content that is defamatory, obscene, pornographic, harassing, threatening, or promotes hate speech.
• Infringement: Generate content that infringes upon the intellectual property or privacy rights of any third party (e.g., non-consensual deepfakes).
• System Abuse: Attempt to "jailbreak," reverse-engineer, or bypass any security filters or rate-limiting mechanisms.
• Data Scraping: Use automated scripts to harvest data or Output from the Service without explicit API authorization.

8. DMCA POLICY (COPYRIGHT COMPLIANCE)

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:

• A description of the copyrighted work.
• The location (URL) of the infringing material on our platform.
• Your contact information.

9. THIRD-PARTY SERVICES

The Services may contain links to third-party websites or services (e.g., Stripe for payments, Cloudflare for security). Token Dynamics Inc. does not endorse or assume responsibility for any third-party sites, information, or materials.

10. SITE MANAGEMENT

We reserve the right, but not the obligation, to:

• Monitor the Services for violations of these Terms.
• Take appropriate legal action against anyone who violates the law or these Terms.
• Refuse, limit access to, or disable any User Input that exceeds our safety thresholds.

11. TERM AND TERMINATION

These Terms remain in effect while you use the Services. We may terminate or suspend your access to the Services at any time, for any reason, including violation of these Terms. Upon termination, your right to use the Services will cease immediately.

12. MODIFICATIONS TO TERMS

We may update these Terms from time to time. We will notify you of significant changes by posting a notice on the Site or via email. Your continued use of GenFlow after the "Effective Date" constitutes acceptance of the new Terms.

13. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, TOKEN DYNAMICS INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE OUTPUT WILL BE ACCURATE, ERROR-FREE, OR UNINTERRUPTED.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TOKEN DYNAMICS INC., ITS DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS OR LOSS OF DATA). OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Token Dynamics Inc. from and against any claims, damages, obligations, losses, or expenses (including attorneys' fees) arising out of your use of the Services, your Input, or your violation of these Terms.

16. DISPUTE RESOLUTION: BINDING ARBITRATION

• Governing Law: These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
• Mandatory Arbitration: Any dispute arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
• Class Action Waiver: YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

17. MISCELLANEOUS

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Entire Agreement: These Terms constitute the entire agreement between us regarding our Services.
